These Terms and Conditions (“Terms”) govern your access to and use of the services provided by Sologenx Private Limited ("Sologenx", "Company", "we", "our", or "us"). By accessing or using any part of our website, software, mobile application, products, or services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

1. Services

Sologenx is an Information Technology company providing, but not limited to:

• Software Development (Web, Mobile, Desktop Applications)

• IT Consulting and Strategy

• Cloud Solutions

• DevOps and Automation

• Cybersecurity Services

• Data Analytics and Business Intelligence

• Maintenance and Support

• Custom Technology Solutions

The scope, timelines, and deliverables for each client engagement shall be detailed in individual agreements, proposals, or statements of work (SOWs).

2. Eligibility

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you meet this requirement.

3. Client Obligations

Clients shall:

• Provide accurate, complete, and up-to-date information as requested by Sologenx.

• Cooperate fully during the course of the project.

• Make payments in accordance with the agreed timelines.

• Respect the confidentiality and intellectual property rights of Sologenx.

Failure to do so may result in suspension or termination of services.

4. Payment Terms

• All fees are due as per the payment schedule specified in the proposal or agreement.

• Delays in payment may attract interest charges or service suspension.

• All prices are exclusive of applicable taxes unless otherwise stated.

• Sologenx reserves the right to change pricing at its sole discretion, with due notice to ongoing clients.

5. Intellectual Property

• Unless otherwise agreed in writing, all code, software, documentation, and deliverables developed by Sologenx remain the intellectual property of Sologenx until full payment is received.

• Upon full payment, ownership of the final deliverables (excluding third-party tools/libraries) will be transferred to the client.

• Sologenx reserves the right to use the final deliverables in its portfolio and for marketing purposes unless restricted by a Non-Disclosure Agreement (NDA).

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the term of the engagement. Neither party shall disclose such information to any third party without prior written consent.

7. Warranty & Support

• Sologenx provides a limited warranty for a defined period (typically 30-90 days) post-delivery for fixing bugs and technical issues.

• Ongoing support, maintenance, or feature updates may be availed under separate agreements or retainers.

• Sologenx is not liable for issues arising from third-party changes, hosting environments, or client misuse.

8. Termination

Either party may terminate the agreement:

• With 15–30 days prior written notice.

• For breach of contract or non-performance.

Upon termination:

• The client must pay for all services rendered up to the termination date.

• Sologenx shall deliver completed work as per the payment status.

9. Limitation of Liability

To the maximum extent permitted by law, Sologenx shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

10. Indemnification

You agree to indemnify and hold harmless Sologenx, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Services.

11. Third-Party Services

Sologenx may utilize third-party tools, APIs, or platforms. The use of such services is governed by the terms of those third parties, and Sologenx disclaims any liability arising from them.

12. Force Majeure

Sologenx shall not be held liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, acts of government, power failures, or internet outages.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. All disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of [Insert City, e.g., Bengaluru, Karnataka].

14. Modifications to Terms

Sologenx may revise these Terms at any time. We will notify users of any material changes. Continued use of the Services constitutes acceptance of the revised Terms.
